Terms of Service
Last updated October 2, 2026
Please read these terms carefully. They explain how our consulting engagements and the client portal work, and the commitments each of us makes.
1.Agreement to These Terms
These terms govern your use of arivol.io and the Arivol client portal, and any consulting services you buy from Arivol, a DBA of iProfessional Consulting LLC, a Texas limited liability company (“Arivol,” “we,” “us”). By using the site, signing in to the portal, or engaging us, you agree to these terms. If you accept them on behalf of a company, you confirm you have authority to bind it, and “you” means that company.
2.Our Services
Arivol provides workflow efficiency consulting: fixed-fee audits of how work and software are used across a business, written findings and recommendations, and project work to put those recommendations in place, including automation and AI tooling. We may also offer ongoing support on a retainer.
The scope, deliverables, timeline, and fees for each engagement are set out in a proposal, statement of work, or order form that you accept (a “Proposal”). If a Proposal conflicts with these terms, the Proposal controls for that engagement.
3.Your Responsibilities
- Give us timely access to the people, information, and systems the engagement needs, and keep what you give us accurate.
- Make sure you have the right to share any data you provide, including information about your employees, contractors, and vendors, and that sharing it with us complies with your own policies and obligations.
- Make the business decisions. We recommend; you decide what to implement, and you remain responsible for your operations, staffing, and vendor relationships.
Delays in access or information can move timelines, and work outside the agreed scope may require a change to the Proposal.
4.Client Portal Accounts
You are responsible for activity under your portal accounts and for keeping sign-in credentials secure. Do not share accounts, attempt to access data that is not yours, interfere with the portal’s operation, or upload anything unlawful or malicious. Tell us promptly at mail@arivol.io if you suspect unauthorized access. We may suspend access that puts the service or other clients at risk.
5.Fees and Payment
Fees are stated in the Proposal and are payable through Stripe or another method we agree on. Unless a Proposal says otherwise:
- Invoices are due within 15 days of the invoice date.
- Retainers and other recurring fees are billed in advance and renew each period until cancelled.
- Fees for work already performed are non-refundable.
- Fees do not include taxes, which you are responsible for other than taxes on our income.
If an invoice is more than 15 days overdue, we may pause work until it is paid. Any credit described in a Proposal, such as an audit fee credited toward later work, applies only as the Proposal describes.
6.Confidentiality
Each of us will keep the other’s non-public business information confidential, use it only for the engagement, and protect it with at least reasonable care. This does not cover information that is public through no fault of the receiving party, was already known to it, was independently developed, or was lawfully received from someone else. Either of us may disclose confidential information when the law requires, after giving the other notice where allowed. These obligations continue for three years after the engagement ends, and for as long as the information remains a trade secret.
Our handling of personal information is described in our Privacy Policy at arivol.io/privacy.
7.Ownership
You own your data. You give us permission to use it only to perform the engagement and operate the portal for you.
Once you have paid for them in full, you own the reports, findings, and other deliverables we create specifically for you, and you may use them freely within your business.
We keep ownership of our pre-existing and general-purpose materials, including our methods, frameworks, templates, software, and the Arivol portal, along with improvements to them. Where any of those are built into a deliverable, you receive a non-exclusive, perpetual license to use them as part of that deliverable within your business. We may reuse general know-how gained from our work, as long as we do not disclose your confidential information.
8.Third-Party Tools
Our recommendations and project work often involve software made by others. Your use of that software is governed by its provider’s terms, and its fees are yours unless a Proposal says otherwise. We are not responsible for third-party products, their availability, or changes their providers make.
9.No Guarantee of Results
We perform our services with professional care. Savings estimates, efficiency figures, and other projections in our findings are good-faith estimates based on the information available to us, not guarantees. Actual results depend on decisions and circumstances outside our control. We do not provide legal, tax, accounting, or financial advice.
10.Disclaimer of Warranties
Except as expressly stated in a Proposal, the site, the portal, and our services are provided “as is” and “as available,” and we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent the law allows.
11.Limitation of Liability
To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if advised they were possible. Our total liability arising out of these terms or any engagement is limited to the fees you paid us for the engagement giving rise to the claim in the 12 months before it arose. These limits do not apply to your payment obligations, to either party’s breach of confidentiality, or to liability that cannot be limited by law.
12.Indemnification
You will defend and indemnify Arivol against third-party claims arising from data or materials you provide to us in breach of these terms, or from your use of our deliverables in violation of law. We will defend and indemnify you against third-party claims that a deliverable we created, used as we provided it, infringes that party’s intellectual property rights.
13.Term and Termination
Each engagement runs for the term in its Proposal. Either party may end an engagement for convenience with 15 days’ written notice, or immediately if the other party materially breaches these terms and does not cure the breach within 10 days of notice. On termination, you pay for work performed and expenses incurred through the termination date, and we deliver the work completed to that point once paid. Sections on fees owed, confidentiality, ownership, disclaimers, limitation of liability, indemnification, and governing law survive termination.
14.Governing Law and Disputes
These terms are governed by the laws of the State of Texas, without regard to conflict of law rules. We will first try to resolve any dispute informally by talking it through. If that fails, the state and federal courts located in Dallas County, Texas have exclusive jurisdiction, and both parties consent to them.
15.General
We may update these terms by posting a new version here with a new date. Changes do not alter a Proposal you have already accepted unless you agree in writing. Neither party may assign these terms without the other’s consent, except to a successor in a merger or sale of its business. If any part of these terms is unenforceable, the rest remains in effect. Not enforcing a right is not a waiver of it. These terms and any Proposals are the entire agreement between us on their subject. Neither party is liable for delays caused by events beyond its reasonable control.
